Project M2 Term of Use
By pressing “agree” to this Term of Use with Project M2 powered by Solomon Learning Limited (the “Organization”), you agree and accept the terms as set forth below.
- Intellectual Property
All websites and materials provided by the Organization in connection with Project M2 are protected by intellectual property rights and are the exclusive property of the Organization. These cover all forms of materials, including, but not limited to, texts, data, graphics, pictures, sounds, videos, logos, icons or code, which are protected under intellectual property law and remain the Organization or third party’s property.
By signing this agreement, the Organization hereby grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Learning Management System and use its content, solely for our intended non-commercial and lawful use by your school in accordance with these Terms, and solely on devices that you own or are authorized to use. This license is assigned to your school and is not transferable or assignable to others, and may be revoked and terminated by the Organization at any time without prior notice and for any reason (including, without limitation, if you violate these Terms or any applicable law). The Organization reserves all rights not expressly granted herein. It is the school’s responsibility to ensure staff and remind students to adhere to our IP policy. Your school’s license will be terminated if your school has decided to stop participating in the program.
You also agree to seek the Organization’s prior consent before using the trademark, logo, Organization name and any other intellectual property rights of the Organization in any way.
2. Users’ Comments
The Organization does not assume any obligation to ensure accuracy of the information your school contribute to the platform. You warrant that any idea, information, Materials (the term “Material” is intended to cover all projects, files or other attachments sent to us) or comments, including any underlying idea, concept or know-how, that you may transmit to the Organization through the website does not infringe intellectual property rights or any other applicable law. Such information, Materials or comments, will be treated as non-confidential and non-proprietary. You acknowledge and agree to all of the following submission terms:
- Your submission is voluntary and consensual and is made without any condition or reservation of rights, including, without limitation, any condition of compensation, payment, credit, attribution, secrecy or confidentiality. No contractual, fiduciary or confidential relationship of any kind (whether express or implied) is created between you and the Organization by reason of your submission.
- You represent and warrant that your submission does not contain any confidential information of others and does not violate any third-party right, data privacy or any applicable law.
- You shall not submit any information or content, or engage in any conduct in using the platform in any way, that (i) is unlawful, illegal or unauthorized, (ii) is defamatory of any other person; (iii) is obscene, sexually explicit or offensive; (iv) advertises or promotes any other product or business; (v) is likely to harass, upset, embarrass, alarm or annoy any other person; (vi) disables, damages or alters the functioning or appearance of the platform or is otherwise likely to disrupt the platform in any way; (vii) promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; (viii) harvests or collects information about other users without their express consent; (ix) transmits any content which contains software viruses, or other harmful computer code, files or programs; or (x) advocates, promotes or assists any violence or any unlawful act.
The Organization will be free, without any obligation or restriction, to use your input for any and all lawful purposes related to Project M2 and the Organization, which shall include, without limitation, improvement of the learning management system, and research and development of new products/services, throughout the world and in perpetuity.
3. Reservation of Rights
The program is structured for a term of 3 years. Early termination is upon mutual agreement. Renewal of the new terms will be discussed 6 months in advance before the expiry of this agreement. You acknowledge that you have read and understood the above terms in its entirety and agree to abide by them.
